Can I use this template Confidentiality Agreement?

This agreement must be used whenever confidential information is to be disclosed between parties.

The University has three Standard Confidentiality Agreements:

  • A Mutual Confidentiality Agreement (to be used where both parties are disclosing confidential information);
  • A One-Sided Confidentiality Agreement (to be used when only the University is disclosing confidential information; and
  • A Mutual Confidentiality Agreement for QFAB projects (to be used where both parties are disclosing confidential information).

You must enter into the Confidentiality Agreement BEFORE the confidential information is disclosed.

Please read the Conditions of Use below for information on when it is appropriate to use this agreement and how to prepare it. If the below Conditions of Use are followed and no changes are made to the standard terms and conditions, the delegate set out in the Delegations Table is authorised to sign the agreement on behalf of the University.

Please note that you will be unable to save this document to your local computer, so please ensure you have all the necessary information before completing the required details in the agreement.

Conditions of Use

  • No money is being paid under the agreement (if there is, you may need a Consultancy Agreement);
  • The agreement does not involve consultancy services, research work or clinical trials;
  • No amendments have been made to the Confidentiality Agreement;
  • The cover sheet of the Confidentiality Agreement has been completed which clearly describes the Project, Confidential Information and Authorised Individuals (if applicable);
  • You have used the latest version of the Confidentiality Agreement downloaded from the Legal Office website each time;
  • You have obtained any relevant University approvals to enter into this Confidentiality Agreement;
  • No conflicts of interest are involved;
  • You have complied with the University’s policies and procedures, including any relating to outside work.

When to contact Legal Services

Please contact Legal Services in the following circumstances:

  • if any of the Conditions of Use set out above cannot be met;
  • if you require any amendment to the Confidentiality Agreement; or
  • if you have any queries in relation to the putting together the Confidentiality Agreement.

Steps when using the Confidentiality Agreement

There are a number of options for you to consider when you are putting together your Confidentiality Agreement. Please follow this process:

  1. Select the appropriate Confidentiality Agreement.
  2. Complete the details on the cover sheet.

    The details you need to complete are in highlighted text boxes. You cannot change any other part of the Agreement.

    Please note that you will be unable to save this document to your local computer, so please ensure you have all the necessary information before completing the required details in the Agreement.

    It is important to correctly identify the other party involved. You need to obtain a full company name (if there is one) and an ABN (Australian Business Number). To ensure the correct details have been provided to you by the other party please confirm the ABN by using the ABN Lookup service.

    You need to detail as much information about the Project and the Confidential Information to be disclosed as possible. Please also read the definition of Confidential Information in clause 12 to confirm it covers the type of information you will be disclosing. If you have any concerns about this, please contact the Legal Office.

  3. The Confidentiality Agreement needs to be printed and signed by the appropriate signatory. Please have two copies of the Confidentiality Agreement signed, so that both parties can keep an original copy.
  4. Please request that the last party to sign the agreement handwrites the date of signing as the Date of Agreement on the cover page.
  5. You need to ensure you receive a signed original copy back from the other party. Keep chasing them until this is received.
  6. Upon receipt of a Confidentiality Letter signed by both parties, keep a photocopy for your records and send the original signed copy to UQ’s Records and Archives Management Services.

Student Placement Intellectual Property and Confidentiality Agreement

A standard Student Placement Intellectual Property and Confidentiality Agreement is available should the provider of a placement wish to enter into a written agreement with a student regarding intellectual property and confidentiality.  The agreement and the conditions of use are available on the Student Placements webpage.
